Limited Liability Company (LLC)

Learn if a Limited Liability Company (LLC) is right for you. They are easy to setup and can protect you from costly mistakes. They are often best for small to medium size businesses. If you already have a LLC, do not forget to setup your Operating Agreement. Operating Agreements play an important role in the operation of the LLC as it expands.

S-Corporation

The older brother of the LLC. S-Corporations are corporations that have complied with IRS regulations to obtain special tax advantages. S-Corporations are taxed like a traditional partnership versus the double taxation structure. Although more complicated to setup and operate, they allow users unique business advantages including marketability, taxation, and liability protection.

Purchase and Sales Contracts

If you operate a business, you should consider hiring a lawyer to help you with your purchase and sale contracts. Contract law is wonderful because it allows you agree to the terms that you want to be bound by subject to certain exceptions. But it is a double edge sword. Poor and unclear contract drafting often result in unexpected consequences.

Real Estate Contracts

Because most real estate agents are not attorneys, they are limited on what they can put into a contract. In most situations, you do not need an attorney. A good real estate agent may serve you better. But in other situations, it may make sense to have an attorney draft a non-standard contract that covers specific points that you need to address such as a buy back provision or a lease.

Negotiation is an art by itself. While you do not need to be an attorney to be a successful negotiator, knowledge of the law can help to facilitate negotiations.

A good negotiator should be open to discussing alternatives while always keeping their client’s best interests at heart.
